1. Agreement overview

These Terms of Service (“Terms”) govern access to and use of the Career Clutch platform (“Services”) by schools, school districts, educators, and students.

Career Clutch enters into this agreement with the School or District, not individual students.

2. Eligibility & authority

  • Schools represent they have authority to provide student access
  • Students may only access the Services through School-approved accounts
  • Career Clutch does not permit direct consumer sign-ups by minors

3. Educational purpose

The Services are provided solely for educational and career readiness practice purposes.

Career Clutch does not provide:

  • Professional counseling
  • Mental health services
  • Employment placement or hiring decisions

4. Accounts & access

  • Schools control account creation, access, and removal
  • Users are responsible for safeguarding credentials
  • Career Clutch may suspend access for misuse or security reasons

5. Acceptable use

Users may not:

  • Upload unlawful, abusive, or harmful content
  • Attempt to reverse engineer or misuse AI systems
  • Impersonate others or misrepresent identity
  • Circumvent security controls

6. Intellectual property

  • Career Clutch retains all rights to the platform and technology
  • Schools retain ownership of student data
  • Limited, non-exclusive license granted for educational use

7. AI-generated content disclaimer

AI-generated feedback:

  • Is for practice and learning only
  • May contain inaccuracies
  • Requires educator judgment and oversight

Career Clutch does not guarantee outcomes.

8. Privacy & data protection

Use of the Services is governed by the Career Clutch Privacy Policy and FERPA Data Protection Addendum, which are incorporated by reference.

9. Limitation of liability

To the maximum extent permitted by law:

  • Career Clutch shall not be liable for indirect or consequential damages
  • Total liability shall not exceed fees paid in the prior 12 months

10. Termination

  • Schools may terminate access per contract terms
  • Career Clutch may suspend access for violations or security risk
  • Data handling upon termination follows the FERPA Addendum

11. Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict of law principles.
