1. Definitions

  • “School” means the educational institution or district entering into an agreement.
  • “Student Data” means information directly related to an identifiable student.
  • “Services” means the Career Clutch platform.

2. FERPA school official designation

Career Clutch:

  • Acts as a School Official under FERPA
  • Performs services that the School would otherwise use employees to perform
  • Uses Student Data only for authorized educational purposes

3. Data use limitations

Career Clutch agrees to:

  • Use Student Data solely to provide the Services
  • Not disclose Student Data except as permitted by the School or law
  • Not sell or monetize Student Data

4. Data security

Career Clutch maintains reasonable administrative, technical, and physical safeguards to protect Student Data from unauthorized access, disclosure, or misuse.

5. Data breach notification

In the event of a confirmed breach involving Student Data:

  • Career Clutch will notify the School without undue delay
  • Provide relevant details and remediation steps
  • Cooperate with School response obligations

6. Data retention & deletion

  • Student Data is retained only for the duration of the Services
  • Upon termination, data will be deleted or returned at the School’s request
  • Backup deletion occurs within standard retention cycles

7. Audit & compliance

Upon reasonable request, Career Clutch will provide information necessary for the School to verify compliance with this Addendum.

8. Survival

These obligations survive termination of the agreement.

9. Governing law

This Addendum is governed by Delaware law, without regard to conflict of law principles.
